VERDICART MARKETPLACE

Vendor Terms

These Vendor Terms set out the rules and responsibilities that apply when you register, list products, sell products, or otherwise participate as a vendor on the Verdicart marketplace.

Seller Responsibility

Vendors are responsible for accurate listings, lawful products and reliable fulfillment.

Customer Experience

Vendors must support accurate orders, timely communication and appropriate resolutions.

Marketplace Standards

Verdicart may review listings, orders and vendor activity to protect marketplace standards.

By registering as a vendor or using Verdicart’s marketplace selling functionality, you agree to comply with these Vendor Terms, the applicable marketplace policies, and any other terms or requirements communicated by Verdicart. Vendors remain responsible for complying with laws and regulations applicable to their business, products, customers and transactions.

01

Vendor Eligibility

To sell products through Verdicart, you must provide information that is accurate, complete and current and satisfy any onboarding requirements applicable to vendors.

Verdicart may request additional information or documentation where reasonably necessary to verify a vendor, its business, its products, its payment details or its ability to fulfil marketplace orders.

  • Vendor registration information must be accurate and kept up to date.
  • Vendors must be legally entitled to sell the products they list.
  • Vendors must provide valid payment and contact information.
  • Vendors must not impersonate another business or person.
  • Vendors must not create duplicate or misleading vendor accounts for the purpose of circumventing marketplace controls.
02

Vendor Account & Security

Vendors are responsible for maintaining the security of their marketplace account and login credentials.

Vendors must promptly notify Verdicart if they suspect unauthorised access, compromised credentials or suspicious activity involving their account.

Important: Vendors are responsible for activity carried out through their account unless the activity resulted from circumstances for which the vendor is not responsible and has promptly notified Verdicart.

03

Product Listings

Vendors are responsible for ensuring that every product listing submitted to Verdicart is accurate, complete and not misleading.

Product information should include, where applicable:

  • Accurate product name and description.
  • Correct product specifications and dimensions.
  • Accurate product images.
  • Correct pricing and applicable charges.
  • Available stock or inventory information.
  • Appropriate warnings, instructions and restrictions.
  • Accurate delivery and fulfilment information.

Vendors must promptly correct or remove information that becomes inaccurate, misleading, unavailable or outdated.

04

Product Quality & Authenticity

Vendors must only list products that they are authorised and legally entitled to sell.

Products must correspond materially with their descriptions, specifications and images and must be supplied in accordance with applicable legal requirements.

Vendors Must

  • Supply genuine and accurately described products.
  • Maintain appropriate product quality standards.
  • Honour applicable warranties and guarantees.
  • Ensure products are appropriately packaged.

Vendors Must Not

  • List counterfeit or unauthorised products.
  • Misrepresent the origin or characteristics of a product.
  • Use misleading product images or descriptions.
  • Sell products they are prohibited from selling.
05

Prohibited & Restricted Products

Vendors must not list or sell products that are prohibited by applicable law or by Verdicart’s marketplace rules.

This includes products that are unlawful, counterfeit, stolen, unsafe, misleading, infringing, or otherwise unsuitable for marketplace sale.

  • Counterfeit or unauthorised branded goods.
  • Products that infringe intellectual property rights.
  • Illegal or unlawfully restricted products.
  • Products presenting an unreasonable safety risk.
  • Products whose sale requires a licence or approval that the vendor does not hold.
  • Products prohibited by Verdicart’s marketplace rules.

Important: Verdicart may remove, restrict or suspend a listing where it reasonably considers that the product may breach applicable law, marketplace rules, intellectual property rights, customer safety requirements or these Vendor Terms.

06

Pricing & Product Information

Vendors are responsible for maintaining accurate product pricing and availability information.

Prices submitted to the marketplace must not be misleading and should clearly reflect the applicable product price and any information required to understand the transaction.

Vendors should promptly update pricing where costs, availability or other relevant product information changes.

07

Orders & Order Acceptance

Vendors are responsible for monitoring orders received through the Verdicart marketplace and taking the required steps to fulfil accepted orders.

Vendors must not cancel orders unnecessarily because of avoidable stock, pricing or fulfilment issues.

  • Maintain accurate inventory information.
  • Process orders within the applicable fulfilment period.
  • Provide accurate order and tracking information where available.
  • Notify Verdicart promptly if an order cannot reasonably be fulfilled.
  • Avoid creating artificial or misleading order activity.
08

Shipping & Fulfilment

Vendors are responsible for preparing products for shipment, using appropriate packaging and providing accurate fulfilment information.

Accurate Fulfilment

Orders should contain the correct product, quantity and relevant accessories or components.

Tracking Information

Where tracking is available, vendors should provide accurate tracking information through the applicable marketplace process.

Vendors should take reasonable steps to minimise avoidable delivery delays, incorrect shipments, damaged goods and incomplete orders.

09

Customer Service

Vendors are expected to cooperate with Verdicart in resolving customer questions, complaints and order issues.

  • Respond to customer or Verdicart enquiries within a reasonable period.
  • Provide accurate information when resolving an issue.
  • Cooperate with investigations involving an order.
  • Avoid abusive, threatening, discriminatory or misleading communication.
  • Follow applicable marketplace processes for refunds, replacements and returns.
10

Returns, Refunds & Product Issues

Vendors must cooperate with Verdicart in handling eligible returns, refunds, replacements and customer complaints.

Where a product is damaged, defective, incorrect, materially different from its description, or otherwise qualifies for a customer remedy, the vendor may be required to provide information or assistance necessary to resolve the matter.

Important: Verdicart’s customer Refund & Returns Policy applies to customer-facing transactions. Vendors should ensure that their fulfilment and product practices allow Verdicart to meet its customer-facing obligations.

11

Fees, Payments & Payouts

Any marketplace fees, commissions, subscription charges, payment processing charges or other applicable charges will be communicated to vendors through the applicable vendor or marketplace process.

Vendors are responsible for providing accurate payment information and for ensuring that their banking or payment details remain current.

Verdicart may withhold, adjust or delay a payment where reasonably necessary to address refunds, chargebacks, transaction disputes, suspected fraud, order issues or other amounts properly attributable to the vendor, subject to applicable law and the applicable marketplace arrangements.

12

Taxes & Business Compliance

Vendors are responsible for understanding and meeting their own tax, registration, licensing, accounting and other business obligations arising from their marketplace activity.

Where applicable, vendors should maintain the records and documentation required for their business and transactions.

Important: Being accepted as a Verdicart vendor does not constitute tax, legal, accounting or regulatory advice and does not transfer the vendor’s independent legal or tax obligations to Verdicart.

13

Intellectual Property

Vendors must only upload or use product images, descriptions, trademarks, logos, videos and other content that they are authorised to use.

Vendors must not use Verdicart’s branding, content or intellectual property in a way that suggests an unauthorised relationship, endorsement or ownership.

By submitting content for use in connection with a marketplace listing, the vendor grants Verdicart the permissions reasonably required to display, reproduce, format and promote that content for marketplace and related commercial purposes, subject to applicable rights and any agreed limitations.

14

Customer Information & Privacy

Vendors may receive or have access to customer information only where necessary for legitimate marketplace purposes such as fulfilling an order or resolving an order-related issue.

Vendors must handle customer information responsibly and must not use customer information for unrelated marketing, solicitation, resale, profiling or other unauthorised purposes.

  • Use customer information only for authorised purposes.
  • Keep customer information secure.
  • Do not sell or disclose customer information to unauthorised third parties.
  • Do not add customers to independent marketing lists without an appropriate lawful basis or required consent.
15

Prohibited Vendor Conduct

Vendors must not use the Verdicart marketplace to engage in activity that is fraudulent, deceptive, abusive or intended to manipulate marketplace operations.

  • Creating fake orders, reviews or customer activity.
  • Manipulating prices, rankings or marketplace visibility through deceptive practices.
  • Circumventing marketplace fees or transaction processes.
  • Attempting to move customers away from Verdicart for the purpose of avoiding applicable marketplace processes or charges.
  • Using another person’s account or business identity.
  • Uploading malicious code or attempting to compromise marketplace systems.
  • Engaging in harassment, threats, discrimination or abusive conduct toward customers or Verdicart personnel.
16

Marketplace Monitoring & Listing Removal

Verdicart may review vendor accounts, listings, orders, customer complaints and marketplace activity to help maintain marketplace quality, security and customer trust.

Verdicart may remove or restrict a listing where it reasonably considers that the listing may violate these Vendor Terms, marketplace rules, applicable law, intellectual property rights, customer safety requirements or other legitimate marketplace standards.

Where appropriate, Verdicart may request information or corrective action from the vendor before a listing is restored.

17

Suspension & Termination

Verdicart may suspend or restrict a vendor account where necessary to protect customers, the marketplace or Verdicart’s operations.

Circumstances that may result in suspension or termination include, among other things:

  • Serious or repeated breaches of these Vendor Terms.
  • Fraudulent or deceptive activity.
  • Sale of prohibited, counterfeit or unlawful products.
  • Repeated fulfilment failures.
  • Repeated customer complaints involving product quality or inaccurate listings.
  • Misuse of customer information.
  • Attempts to circumvent marketplace controls or fees.

Where appropriate, Verdicart may provide the vendor with an opportunity to address a breach before further action is taken. This does not limit Verdicart’s ability to take immediate action where reasonably necessary to protect customers, the marketplace, its systems or comply with applicable law.

18

Vendor Responsibility

Vendors remain responsible for their products, listings, fulfilment activities, business operations and compliance obligations.

Vendors should maintain appropriate records relating to products, suppliers, orders, fulfilment, customer issues and other marketplace activity relevant to their business.

Important: Listing a product on Verdicart does not transfer responsibility for the legality, safety, authenticity, quality or accuracy of that product to Verdicart.

19

Changes to These Vendor Terms

Verdicart may update these Vendor Terms from time to time to reflect changes to the marketplace, business operations, legal requirements, security requirements or vendor processes.

Updated terms will be published on the website or otherwise communicated through the applicable marketplace channel. Continued use of the marketplace after an applicable update may constitute acceptance of the updated terms to the extent permitted by law.

20

Applicable Law & Consumer Protection

Vendors are responsible for complying with the laws and regulations applicable to their business, products, transactions and marketplace activities.

Nothing in these Vendor Terms is intended to exclude, restrict or waive any right or obligation that cannot lawfully be excluded, restricted or waived.

Where mandatory legal requirements provide protections or obligations that differ from these terms, those mandatory requirements will apply to the extent required.
